Approach

Preparation decides the price.

A transaction is won or lost on what the buyer can verify. We spend the time before the first conversation making sure everything a buyer will ask for already exists, is accurate and is ready to show.

I

Assessment

We study the company, its numbers and the owner's goals, and give a realistic value range and the structures that could achieve it. If a sale is not the right step yet, we say so.

Your decisionWhether to proceed, and on what terms. The mandate agreement is signed here.
II

Preparation

Financials are normalised, contracts and documents gathered, and the risks a buyer would find are found first. We prepare the anonymous teaser, the information memorandum and the data room.

Your decisionApproval of the teaser, the memorandum and the list of buyers to approach.
III

Approach

The anonymous teaser goes to a short list of qualified buyers. Those who want to continue sign a non-disclosure agreement before they learn the company's name.

Your decisionWhich buyers receive the identity of the company and the information memorandum.
IV

Negotiation

Offers are compared on price, structure, payment terms, conditions and certainty of closing. We negotiate the letter of intent with you and the buyer.

Your decisionWhich offer goes forward, and whether to grant exclusivity.
V

Closing

The buyer's due diligence runs through the data room. The purchase agreement is drafted by the parties' legal counsel, and we coordinate the advisers through to signature and handover.

Principles

How we conduct ourselves.

i.

Discretion first

Clients and transactions are never named on this site, in presentations or in conversation.

ii.

Counsel at the table

Every transaction is documented by qualified legal and tax counsel. We coordinate the process and the advisers. We do not replace them.

iii.

Few mandates at a time

We take on a small number of mandates so each one gets partner attention from the first meeting to closing.

iv.

Terms in writing

Scope, fees and exclusivity are set out in a written mandate agreement before any work starts.

Start with an assessment.

A first conversation is confidential and commits you to nothing.
