Mandates

Four kinds of mandate, one side each.

Every engagement is set out in a written mandate agreement: who we represent, what we do, for how long and on what terms. We never represent both sides of the same transaction.

For owners ready to sell, fully or in part. Most of the price is decided before the first buyer sees anything, so most of our work happens in preparation.

For whom

  • Owners planning a full exit
  • Shareholders selling a stake to a strategic partner
  • Companies selling a division

What we do

  • Value range and deal structure
  • Normalised financials and documentation
  • Teaser, information memorandum and data room
  • Buyer research and approach under NDA
  • Negotiation of offers and the letter of intent
  • Coordination of due diligence and closing

What you receive

  • An honest view of value before you commit
  • Complete sale documentation
  • A short list of qualified buyers
  • Offers compared on price, terms and certainty

For buyers who know what they want to own. The best companies are rarely for sale, so we go to the owners directly, on your behalf and without naming you until you choose to.

For whom

  • Companies growing by acquisition
  • Investors and family offices seeking an operating business
  • Entrepreneurs buying their first company

What we do

  • Acquisition criteria defined with you
  • Screening of the market, including companies not for sale
  • Anonymous approach to owners
  • First meetings and qualification
  • Support on the letter of intent and due diligence

What you receive

  • A long list and a short list with reasons
  • Introductions to owners willing to talk
  • A structured route from first meeting to signing

For founders who built something worth keeping and have no one lined up to carry it on. We compare the options honestly and look for an owner who intends to run the company, not strip it.

For whom

  • Founders without a successor in the family or management
  • Family companies planning a handover
  • Owners who want to step back gradually

What we do

  • Review of options: outside sale, management buy-out, staged sale
  • Search for and qualification of a successor
  • Design of the handover period and earn-out
  • Coordination with legal and tax counsel

What you receive

  • Clear options and what each one means for you
  • A successor who intends to continue the business
  • A written handover plan

Sometimes the value sits in a software product, a brand or the property an operating company stands on. Selling it on its own can serve the owner better than selling the whole company.

For whom

  • Owners of software products and platforms
  • Holders of brands, domains and other IP
  • Companies with property that can be sold with or apart from the business

What we do

  • Separation of the asset from the company where needed
  • Technical and commercial documentation
  • Review of code and architecture by WMinus engineers
  • Search for and approach to buyers of the asset

What you receive

  • An asset documented and ready for sale
  • Buyers who understand what they are buying
